AutoProtect Group have licensed a critical software platform from a small software vendor. As part of the due diligence process and in line with their go-live date, AutoProtect Group wanted to implement a Software Escrow agreement with a validation exercise.

Automated Depositing and Code Validation

There are two functions to the agreement implemented by SES. First of all is to capture and automate the depositing of all relevant platform materials and data needed by AutoProtect to continue operations in the event the Escrow is triggered. Alongside this, AutoProtect required an SES consultant to work with the developers of the platform to witness and record a Code Validation exercise.

Business Continuity and Platform Recovery

By automating the depositing of platform materials and data, AutoProtect Group have the reassurance that SES consistently holds up to date copies of all the required aspects needed for operations to continue. By performing the Code Validation exercise, SES can further guarantee the material effectiveness by witnessing and recording the entire build process and storing that in Escrow too. Upon release, AutoProtect Group would gain access to all materials and data along with an accurate build guide which they would follow or give to a third party to rebuild the platform, allowing then to continue business as usual.
